'Resin Systems EUCo. has received a purchase order to supply approximately U.S. $45 million of industrial conveyor system rollers made from its Version resin to a domestic EU mining conglomerate.'

Overview

Resin Systems Inc. operates in the composite material products industry and provides engineered solutions for its proprietary input materials, equipment and processes. The foundation of these solutions is the company's proprietary Version™ resin, which is being continuously developed through patent pending and trade secret knowledge.
 


Investment Highlights

  • Resin Systems Inc., has acquired approximately one half of a European Union company, which company will pursue market opportunities in the EU and adjacent former eastern bloc countries for the sale of RS's Version resin and products derived therefrom with the exception of RS's RStandard modular composite utility poles which RS will pursue directly. RS intends to advance approximately U.S. $1.875 million to EUCo. this calendar year for the purpose of establishing a production facility in the EU.
     
  • In addition, Resin Systems EUCo. has received a purchase order to supply approximately U.S. $45 million of industrial conveyor system rollers made from its Version resin to a domestic EU mining conglomerate. Pursuant to the purchase order, EUCo. will commence delivery of the conveyor rollers in November 2005 and complete the deliveries by November 2008.

  • One need only consider that during the 50 years which it takes an average tree to grow, one production line can manufacture at least 100 composite poles per day using Version™ resin. As a result of this effort, more than two million trees can be saved during this time frame.

  • The company has received a three year, multi-million dollar purchase order from Inline Fiberglass Limited of Toronto, Ontario, Canada, to supply IFL with its Version(TM) resin which IFL will use to manufacture soffit architectural components using a pultrusion process. In accordance with the purchase order, RS will ship regular full container loads of Version(TM) resin to IFL on a weekly basis over a three year period commencing in the fourth quarter of 2005. The minimum value of the purchase order exceeds CDN $5-million per year.


Technology

Resin Systems develops engineered solutions and subsequently implements them in three distinct technology platforms: filament winding, pultrusion and moulding. Each of these platforms is unique in process, equipment and materials application. The utilization of their proprietary Version™ resin in each of these platforms requires uniquely specialized equipment and application. Once created, these specialized solutions create new proprietary applications, which result in a significant competitive advantage for RS.

Version™ is a revolutionary polyurethane-based thermoset resin system, which has proven advantages over traditional resin systems. It provides a superior performance in both production processes and finished goods, which has been confirmed by third-party testing. Products manufactured with Version™ have greater strength-to-weight ratio and improved impact resistance. Due to this strength contribution, less fibre reinforcement is required to produce parts of equal or greater strength than with traditional resin systems, which results in a significant cost-saving advantage to the manufacturer.

  • Materials - Fibre

Fibre makes up approximately 70% of the material inputs in composite material products. Currently the fibre used in the company's engineered solutions is E-glass fibre manufactured primarily from the raw material of quartz. Currently, the fibre is sourced on the open market and their R&D department is continuously searching for alternatives to achieve improvements in performance and certainty of supply.

 

  • Process and Equipment

The base equipment structure for the platforms of filament winding, pultrusion and moulding is obtained from market manufacturers. However, the unique technology necessary for Version™ in winding, die and moulding applications are proprietary and totally developed in-house. This know-how is only available to others through our licensing arrangements.

 

  • Engineering and Design

During the past year, RS has developed a significant engineering and design capability and capacity. This increasing in-house expertise in the areas of chemistry, structural design and mechanical and process engineering will ensure that RS continues to provide increasing total engineered solutions in advance of the marketplace.

 


The Environment

RS strives to provide solutions that are stronger, lighter, greener and longer lasting.

A growing concern with conventional composites is the Volatile Organic Compound (VOC) content and the Hazardous Air Pollutants (HAPs) that are emitted during the manufacturing process. These environmental issues come about through the use of conventional resins that are found in most composites.

The issue of dangerous emissions during composite manufacturing processes has put the industry under a lot of scrutiny. Recent changes in environmental regulations in North America have resulted in lower allowable emission standards. As a result of these changes, composite manufacturing companies are searching for cost effective alternatives in order to maintain compliant production processes.

The company's patented Version™ resin provides the composite manufacturing industry with many unique and cost effective solutions; one of which is that Version™ resin does not result in VOC content and HAPs emission concerns. This advantage in turn affords the composite manufacturing industry the opportunity to save time and energy spent towards developing and implementing emission compliance solutions.

Composites in general are increasingly replacing conventional industrial materials such as wood, steel and aluminum in various new applications throughout our world. When products are made with environmentally friendly materials such as the company's Version™ resin, everyone can benefit from the strength, durability, light weight, and overall environmental benefits that composites offer over traditional materials.

Composites can also help reduce greenhouse gasses that cause global warming. Each tree saved by using these composite materials can absorb up to 10 pounds of pollutants from the air each year.
 


Market

The Resin Sector

 

There are essentially two major groups of resins: thermoset and thermoplastic.

Thermoset resins account for more than 70% of those used to make all composite products worldwide. Currently, North America is the largest composite products user and consumer in the world, and its thermoset resin market today is valued at more than US$ 11-billion.

Thermoset resins are usually liquids or solids with low-melting points in their initial form. When used to produce finished goods, thermoset resins are cured or hardened by a catalyst of some kind, or heat, or a combination of the two. Once cured, solid thermoset resins cannot be converted back to their original liquid form.

The dominant resins in the thermoset category are polyester, vinyl ester, polyurethane and epoxy. Of those, polyester resin is currently the dominant choice of manufacturers, with more than 70% of the market. However, polyester has the weakest property characteristics, with minimal strength or impact resistance capabilities.

Version™ has several outstanding characteristics that give it a strong competitive advantage over the traditional thermoset resins, including polyester. Due to its unique strength and impact resistance performance, Version™ has few competitors. It has superior performance characteristics compared to polyester and general purpose epoxies-and unlike epoxies, it is very competitive in price with traditional polyester and vinyl ester resins.

Greg Pendura
President & Chief Executive Officer - RSI
 

Mr. Pendura is one of the original founders of RSI and formerly served as the Executive Vice-President. He has been involved with RSI since 1995 Mr. Pendura has owned and operated several successful manufacturing, trading and retail businesses in the Edmonton area. He is responsible for overseeing RSI’s corporate affairs. He works closely with other members of the Board of Directors and senior management in developing the RSI business strategy. Mr. Pendura continues to develop solid relationships with the investor and financial communities. A former High School Teacher with a Masters degree in Education, Mr Pendura provides steady leadership to the corporation.
 

Paul Giannelia
Chief Executive Officer, RS Technologies
 

Mr. Giannelia has been with RS in his present capacity since October 2003. He is responsible for overseeing the corporate operations of RS Technologies, the operating division of Resin Systems Inc., which is responsible for the engineering, design, production and sales of all RS product lines. Mr. Giannelia has extensive experience in start-up business and brings more than 30 years of experience to RS. Mr. Giannelia was founder, President and CEO of SC Infrastructure and Strait Crossing Inc., two global infrastructure leaders, which were responsible for the building of the Confederation Bridge in Atlantic Canada. He has an Economics Degree from Wilfred Laurier University, an Honourary Doctorate - Science (Engineering) from the University of New Brunswick, and Honourary Doctorate Degrees (Law) from Wilfred Laurier University and the University of Calgary. He also holds an Honourary Membership in the Engineering Institute of Canada.
 

Robert Schaefer, CA
Chief Financial Officer
 

Mr. Schaefer joined the RS team as Chief Financial Officer in August 2005. He is responsible for all the company's financial affairs and has extensive experience in growth-oriented companies, with over 17 years of experience in Canada, the United States and Europe. Most recently, Mr. Schaefer was a business development executive within the energy industry in Canada and the United States, responsible for mergers and acquisitions and growth initiatives. Prior to that, he served as CFO for a large gas marketing organization, where he was responsible for all financial functions and new business development. Mr. Schaefer has a Bachelor of Commerce degree from the University of Calgary and is a Chartered Accountant, with membership in the Institute of Chartered Accountants of Alberta.
 

Michael Giannelia, CET

Mr. Giannelia joined the RS executive management team in early 2004. He provides the company with a strong commercial and administrative management background, with core strengths and expertise in insurance, contracts and administrative controls as well as corporate and project finance. Mr. Giannelia’s experience encompasses nearly twenty years of administrative management and cost control systems implementation, in both domestic and international environments. Mr. Giannelia is a Certified Engineering Technologist through ASET and is an honours graduate of Civil Engineering at Ryerson Polytechnical Institute in Toronto. He is a member of the Association for the Advancement of Cost Engineering (AACE).

Ms. Radakovic has a strong marketing background and the expertise needed to head up the RS marketing team. She holds an MBA and has ten years of experience managing, promoting and marketing both products and services in high tech, as well as industrial, markets. Ms. Radakovic's background includes working with a very profitable high-tech enterprise, as well as working with a large utility agency.
