Corporation designs, develops, manufactures and markets a
variety of proprietary, drug-free, anti-inflammatory patches
for a broad range of medical indications. The Company's
patch products, which are marketed under the trade name
ActiPatch TherapyR, deliver pulsed electromagnetic field
therapy, a clinically-proven and widely-accepted
anti-inflammatory and pain relief therapy that, prior to the
introduction of the Company's products, had only been
offered through large office- or hospital-based equipment.
The Company believes pulsed electromagnetic energy therapy
will increasingly be used as an alternative or adjunct to
many wound care procedures or therapies because it may
relieve pain and swelling, shorten or halt the inflammatory
phase, accelerate tissue healing, minimize the appearance of
scars and increase the strength of regenerated tissue.

BioElectronics Corporation is the maker of Actipatch, a
microchip embedded into a disposable soft foam patch that
delivers pulsed electromagnetic field therapy, a clinically
proven and widely accepted anti-inflammatory and pain relief
therapy previously only available from large facility-based
machines. The Actipatch is designed to meet the market
demand for an effective, inexpensive, drug-free, therapeutic
agent for the soft tissue injury market. In the US alone,
there are an estimated 200+ million soft tissue injuries
annually. The unique value proposition of ActiPatch™ is
delivery of drug-free therapy that accelerates healing by 30
to 50% when compared with current standard methods of

ActiPatch ™ causes a reduction in the swelling (edema)
and inflammation that occurs after tissue injury – a true
and beneficial acceleration in the healing process. When
soft tissue is damaged the cells separate to prevent the
transmission of infection. The cells leak fluid and cellular
components break down while the cellular debris causes
inflammation, swelling and pain. ActiPatch ™ stabilizes the
leaking cell membrane by, in effect, recharging the
membrane. The pulsed energy delivered by ActiPatch ™ drives
out the edematous fluid along with byproducts of the damaged
tissue. The ActiPatch ™ creates an environment in which
cell-to-cell communication is re-established in the area of
the injured tissue. Inflammation is decreased and tissue
repair begins. As a result of the decreased inflammation, a
decrease in the pain associated with the soft tissue injury
often occurs.

Strategic Marketing Relationships
BioElectronics signed an exclusive three-year supply and
distribution agreement with Byron Medical, Inc. a subsidiary
of Mentor Corporation (NYSE:MNT), a large supplier of
medical products worldwide, to cover marketing of Actipatch
™ Therapy products to plastic surgeons worldwide.
In July 2005, BioElectronics announced an agreement with
MaxMed Technologies, maker of the PedAlign ™ brand of custom
orthotics products. The new wearable and disposable
Actipatch ™ will be available as an insert into the PedAlign
™ product as a unique offering to providers that order
PedAlign ™ custom orthotic products.
In November 2005, BioElectronics announced a partnership
with PROFOOT, Inc. for distribution of the Actipatch ™
product in Canada. The product will be available at
prominent retail stores throughout Canada. PROFOOT Inc. is
America’s second largest brand of consumer foot care
products and the brand is available at tens of thousands of
mass-retail outlets in Canada, the US and 20 other
countries.
Bioelectronics has also entered into a distribution
agreement with Virginia-based Medical Sales Professionals,
Inc (MSP). MSP sells and distributes medical supplies to
professional and college sports teams and health care
providers. Currently, Actipatch ™ is in use by 14
professional sports teams.

Andrew J. Whelan
President and Chief Executive Officer, and Chairman
Mr. Whelan is a seasoned business executive with a strong
financial, consulting, and management background. He was a
founder, Chairman, and President of Physicians'
Pharmaceutical Services, Inc., a public company, and a
charter member of the Maryland Chapter of Inc's Fastest
Growing Companies in America. Mr. Whelan was also a founder,
President, and CEO of Drug Counters, a chain of managed care
retail pharmacies, which was sold to Diagnostek, Inc.
Thomas J. O'Connor
Vice President, Operations, Chief Financial Officer,
Secretary & Director
Mr. O'Connor has served as Vice President Operations,
Chief Financial Officer, Secretary and as a director of the
Company since October 8, 2004. Mr. O'Connor received his
bachelor of arts and masters of business administration and
finance from Arizona State University. Mr. O'Connor served
as Chief Operating Officer of the start-up team recruited in
1994 to develop CVS Corporation's prescription benefits
management subsidiary and bring it to its current $2.0
billion per year revenue status. Prior to joining CVS, Mr.
O'Connor held progressive positions in finance, systems
development and marketing at PCS Health Systems.

consultant providing his e-health, emarketing, product
development and marketing expertise to such clients as WebMD
Corporation, Healtheon, Inc., ComCoTec, Inc. and
Pharmaceutical Care Network
Joe Iglesias
Vice President Design and Engineering
Joe brings over fifteen years of product design,
engineering and management experience in medical devices. He
is a specialist in bioengineering and ergonomic design. Joe
has designed and developed more than 20 innovative products
in the fields of orthopedics, sports medicine, podiatry,
chronic wound care and rehabilitation that have resulted in
more than 25 patents in the US and worldwide. Joe received
his BSME from University of California at Santa Barbara.
Formerly, Joe was the Manager of Product Design for Royce
Medical.
Wayne Gillis
International Business Development
Mr. Gillis has over twenty years of experience in the
investment field. He is President and founder of Sherwood
Financial Corp., which specializes in offshore investments
and raising capital for startup firms in the technology
sector. He also has an extensive background in the
single-payer Health Care environments and has worked on
projects with IBM and a number of pharmaceutical firms. He
was educated at Dalhousie University, Bachelor of Commerce,
Saint Mary's University, Bachelor of Science, Engineering,
and NSCAD Industrial Design.
