Overview
Intelligent Living Corporation (ILC), specializes in designing,
supplying, installing, upgrading and servicing home
automation and commercial presentation center solutions
including: structured wiring, security and safety systems, internet
access, remote monitoring, lighting and climate control, and distributed
audio/video systems. The Company offers both wired and
wireless technology for single and multi-unit new
construction and existing buildings, using both traditional
component and Windows Vista based systems. An
established wholesale distributor, ILC has been supplying
custom IT solutions since 1994 and home automation equipment
and computer peripherals to third party installers since
2003. The Company has offices and demonstration suites in
Phoenix and Vancouver and ongoing projects in southwest BC
and the greater Phoenix area.

Products and Services
Automation
Intelligent Living offers the latest technologies
in home automation for controlling: lighting, climate,
safety and security, access, appliances, window coverings,
pools and spas, irrigation and integrated audio, video and
entertainment.
The concept of home automation has been around for some time
but was generally limited to very high end homes. The costs
were prohibitive primarily due to the requirement that most
systems were either proprietary and/or required extensive
wiring.
However, over the past few years, new technologies emerged
with open architectures that partly relied on wireless
technologies. Now, there are a number of manufacturers that
produce products that are compliant with well established
architectures and communication protocols. The end result is
not only more choices for the home owner but also
substantially reduced costs driven by competition and
non-proprietary open-architecture products.
The other factor that affected the home automation sector is
the emergence of IP (Internet Protocol) and IT (Information
Technology - i.e. Personal Computers) based systems that
primarily use the standard or embedded Microsoft Windows
operating systems. Microsoft has been one of the leading
proponents of home automation and has invested substantially
in distributed audio, video and home automation and
entertainment systems through their development and launch
of Microsoft
Vista operating environment, and
continue to be a major force behind the vision of smart and
intelligent homes.

The premise of a smart home is relatively simple and
involves two major components:
- Take all the independent systems we normally have in
our homes such as security alarm system, lighting
switches, audio / video equipment (TVs, home theaters,
CD/DVD players, etc.), video cameras, sprinkler systems,
etc. and make them communicate with each other and control
them through integrated and easy to use touch panels.
- Make all these capabilities available to us remotely
so that we can survey our home and control our systems
remotely from anywhere around the world using either a
phone or through the Internet.
The company recognize that each of its clients have different
needs and requirements for their home automation needs and
the company custom designs each project with varying degrees of
automation to fit these needs and requirements.
Security, Monitoring & Access Control
The security package includes flush mount Omni consoles,
wired and wireless video cameras, motion detectors, fire and
CO detectors, solenoid operated door locks and contact
sensors for access doors and windows

Systems Control
The control package is custom tailored to each

- One touch radio frequency remotes and touch screen
panel controls
- Programmable and controlled thermostats and
humidistats
- Inside and outside temperature monitoring
- Appliance control capability
- Window covering control
- Pool and spa control

Entertainment
Intelligent Living specializes in traditional as well
as Microsoft Vista based distributed audio and video
systems in addition to offering professional grade products
for exceptional home theater applications.
The company carries a wide variety of products that are professional
and commercial grade and not normally available
to retail purchasers. Consequently, its clients benefit from better
quality equipment at highly competitive pricing.
Traditional distributed audio solutions incorporate
centrally located source equipment such as multi-disc CD/DVD
players and tuners, paired with multi-channel amplifiers
that drive speakers located in each of the multitude of
zones. Each audio zone is controlled by a local interface
device that allows selection of source, playlists, and
volume. Depending on the type of interface, all other zones
can also be controlled from some of the higher end
interfaces such as touch screens.
Microsoft Vista based distributed audio/video, on the
other hand, uses the local wired or wireless network to
provide access to all of the content such as MP3 for music
and MPEG2 for video using the local TVs as the interface
device.
As an authorized Microsoft partner, Intelligent Living
customs builds some of the highest quality Vista servers
with exceptionally large storage capacity that can hold
thousands of songs or hundreds of your
favorite movies, in addition to being an extremely easy to
use digital video recorder. With as little as three clicks
of a button, the user can select the TV program they would like to
record from the TV guide while watching another show
simultaneously. All of the content is made available to
other areas of the home through the use of third party Vista Extenders developed by companies such as Linksys,
Roku and Philips.
The Market

Home automation is achievable in both renovated structures
and new construction at a range of price levels and
sophistication. Retrofitting an older home with digital
bells and whistles is achievable but is usually more costly
because the walls are typically substantially closed. It is
far cheaper and easier to wire a new home during
construction while the walls are open. Installations can be
financed over the mortgage period at a low incremental
monthly cost. “Smart Home” technology appeals to both
younger and older generations of buyers who consider
technology a natural part of their lives. Builders and
renovators recognize this trend and are active in promoting
their ability to deliver home automation as part of their
service package. There is a growing trend among builders in
offering home automation technology as a standard option in
spec homes.
The control, convenience, enhanced communications, safety
and aesthetics that smart homes offer appeal to all ages and
demographics. In particular, the senior generation is poised
to become an extremely important demographic for such
technological advances because of its comprehensive and cost
effective security, access control and monitoring enhancements over traditional systems and
opportunity for real time monitoring for medical
intervention and emergency assistance.
Home automation technology is becoming a big differentiator at both the new
construction and renovation ends of the market. This trend
is permeating all types of housing: single family, duplexes,
town homes and condominiums.
As important as the technology is, the real question is how home
automation improves life for the homeowner. For example,
home automation offers the ability to utilize a cell phone
to remotely open the garage door, unlock the house door,
turn up the thermostat and light the path from the garage to
the kitchen, all with one command. Or, with a few quick key
strokes on a PDA, check to ensure that lights are turned off
and the thermostat is turned down. These levels of
functionality are now available in new homes for as little
as $10,000, using a combination of wired and wireless
components.
Another important new feature is the Web-enabled house —
with this technology, wherever you are in the world, you can
call up a Web page that lets you check on the status of your
home, view security camera images in real time, lock or
unlock doors, adjust lighting and temperature, and turn
appliances on or off. Or, your house can send you messages.
Door sensors can tell you when (or if) the kids have arrived
home; a motion sensor and/or video camera can tell you
whether your grandparent(s) got out of bed this morning, and
your security system can alert you if someone has broken
into your home and show real time images of what is
happening.
In many ways the home automation industry today is where the
computer industry was twenty years ago. Standards are not
yet in place making seamless connectivity and functionality
difficult to achieve for the casual buyer and installer.
These factors restrict the market to professional designers
and installers with the overlapping skill sets required to
bridge the barriers outlined above.
Sales and Marketing Process
The lead time required to bring home automation projects
online varies from several months for single family homes to
over a year for multiple unit developments. For this reason,
it is a critical advantage that ILC has several projects in
progress and at various stages of completion from design
through to imminent occupancy.
Design and scheduling of multi-unit projects passes through
several phases:
- Work with the developer to design and cost a custom
range of optional home automation packages selected to match
the price range of the units in each development.
- Coordinate with the general contractor to install
structured wiring.
- Installations in town home projects and condominium
projects are then negotiated with the individual unit buyers
according to the pre-defined options.
- A deposit is typically required at the time of
selection. The deposit crystallizes the option for each unit
and sets the stage for installation. This stage typically
occurs 6 months prior to scheduled occupancy and up to 3
months prior to the installation of structured wiring.
- The remaining portion of the installed value is due just
prior to occupancy when the hardware items (e.g. computers,
display screens, floor speakers, amplifiers, security
cameras, etc.) are installed.
As of June 2007 the Company has several automation projects
scheduled for completion. These projects represent an
estimated $10 million of gross sales between January 2007 and
December 2009.
The current project activities and anticipated backlog includes:
Single family homes:
- South Central British Columbia - 2 units
- Vancouver - 2 units
Town home project:
- South Central British Columbia – 60 units
Condominium projects:
- Phoenix - 780 units
- South central British Columbia – 200 units
Sales centers & condominium common areas – 2 units
- Includes a commercial-quality movie theatre, a
world-class fitness centre, a state-of-the-art commercial
demonstration kitchen with audio visual presentation
capability, and a boutique winery.
The revenue forecast from the existing mix of projects is
projected to be sufficient to provide positive operating cash
flow. This in turn will provide flexibility to allow the
Company to maximize opportunities for further growth in its
existing regional markets, and the expanded regional markets
included in the forecast.
Distribution Business
Distributor status provides access to purchasing prices
below re-seller pricing. This allows for higher margins on
products purchased for the Company’s home automation
projects. Target area for distribution is initially in
western Canada with a subsequent move to southern Ontario.
Sales of distributed products will occur in the Phoenix
Arizona area as a result of the Company’s existing projects
in this region. Home automation equipment includes: security
alarms, structured wiring components, lighting and climate controls,
home network components, audio/visual components.

Michael F. Holloran -- CEO - Mr. Holloran brings to
Intelligent Living Corporation a wealth of senior management experience spanning 34
years, including 22 years with the Beak International Group
spearheading strategic corporate expansion. Early in his
consulting engineering career he specialized in computer
modeling of physical processes and has provided systems
engineering expert testimony on behalf of Proctor and Gamble,
George Weston Ltd., Abitibi Consolidated, and Canfor Corp. He
has held outside directorships, advisory board positions and
committee memberships with several prominent North American
institutions. He has a Masters degree in Chemical Engineering
from McMaster University, a Bachelor of Science (Honors)
degree in Applied Mathematics and Physical Chemistry from the
University of Waterloo, a Management Studies diploma from
Sheridan College and a certificate in Culinary Arts from
George Brown College Toronto. He has also attended the Summer
Institute in Advanced Systems Engineering at Manhattan College
NY.
Murat Erbatur -- COO - developed Intelligent Living
home automation as an extension to MCM Integrated Technology
Ltd., a company he founded in 1994 to supply IT equipment and
custom IT solutions to commercial clients. A professional
engineer and an early adopter himself, he determined that the
timing was right for a significant increase in home automation
and was ideally positioned to extend the existing IT business
into the home automation sector. This initiative rapidly led
to condominium, town home and single unit home projects in
Vancouver BC, the recreational/retirement area in south
central BC and Phoenix AZ. Murat F. Erbatur joined the Board
of Intelligent Living Corporation in February 2004 and assumed the role of Chief
Operating Officer in January 2007. Mr. Erbatur has spent most
of his 34-year professional career in computers and their
applications in technical and business environments. His
career includes 11 years with Swan Wooster Engineering, three
years as VP of Engineering Software Development Corp, two
years as Director of Marketing with REBIS Industrial Work
Group Software and six years with Simons International as
Manager, Computer Applications. Mr. Erbatur received a B.Sc.
degree in Civil Engineering from Robert College (Istanbul,
Turkey) in 1972 and a Masters degree in Engineering from
University of British Columbia in 1973.
