Southeastern Tanzania. The property is currently in small scale production by
the current owner. One of the most significant prospects being a 8 km by 2km
block, with high gold concentrations within 1.0 and 1.5 meter zones between the

custom-designed riser buoyancy solution from an international energy company.
The $5.5 million contract is expected to be delivered in the third and fourth
quarters of 2008. The client and product are confidential due to the nature of
the project. On April 17, Deep Down announced a definitive agreement to
purchase all of the outstanding capital stock of Flotation Technologies, Inc.

intent to acquire all of the issued and outstanding shares of The Gaming
Network, A.G. ("TGNAG"), a privately owned corporation. Through its subsidiaries
and from closing, TGNAG will conduct and offer a European licensed (Malta)
software licensing, operation and ancillary services business for online bingo
and casino sites operating outside the United States. The exact number of shares
has not yet been determined; however, the letter of intent contemplates that,
upon the consummation of the merger, the shareholders of TGNAG will own between
80 and 85 percent of the outstanding shares of NanoSensors common stock.
