Solaris Energy Expands Power Infrastructure With Omega Deal

Solaris Energy Infrastructure, Inc. SEI is strengthening its power infrastructure capabilities with the acquisition of Omega Foundation Services, a specialized engineering, procurement and construction (EPC) company with expertise in heavy civil construction and large-scale data center projects. The transaction is expected to broaden SEI’s full-cycle power solutions while creating additional opportunities across several growing end markets.

Solaris Energy Adds Specialized EPC Capabilities

Under the agreement, Solaris Energy will acquire Omega for approximately $101 million in cash, assume about $28 million in debt and lease obligations, and issue roughly 3.6 million Class A SEI shares. The transaction is expected to immediately add to Solaris Energy’s earnings and free cash flow per share.

Omega’s specialized EPC expertise adds another component to Solaris Energy’s power value chain. Following the deal, SEI’s full-cycle offering will span early-stage site services, front-end plant installation and commissioning, and electrical substation development. This broader scope should give the company greater control over complex power projects and their execution.

Data Centers and Other Markets Offer Growth Opportunities

The acquisition is particularly relevant as power demand rises across data centers and other energy-intensive industries. Omega brings expertise in heavy civil construction for large-scale data centers while also providing Solaris Energy with growth opportunities in the data center, LNG, industrial and government sectors.

By bringing Omega’s capabilities in-house, Solaris Energy expects to address an important industry bottleneck involving access to skilled professionals with specialized EPC experience. The move could also improve cost and schedule certainty by giving SEI greater control over the construction scope of complex power projects.

SEI Sees Further Contracted Power Growth

Solaris Energy’s management expressed confidence in Omega’s execution capabilities, noting that the companies have worked together for two years across multiple locations. Management also sees substantial room for growth within the combined business.

Beyond the Omega transaction, Solaris Energy highlighted significant near-term opportunities for long-term contracted power growth with both new and existing customers. The company said it is working closely with customers to meet rising power demand and expects to announce additional business expansions in the coming months.

What the Omega Acquisition Deal Means for Investors

The Omega acquisition represents a strategic expansion of Solaris Energy’s power infrastructure platform. By adding specialized EPC and heavy civil construction capabilities, the company can broaden its turnkey execution offering while gaining exposure to data centers, LNG, industrial and government projects. The transaction is also expected to be immediately accretive to earnings and free cash flow per share.
