The cannabis industry may be on the verge of a major shake-up following today’s takeover bid announcement, which, if completed, could pave the way for the creation of a global cannabis powerhouse.

This morning, Curaleaf Holdings Inc. (TSX: CURA) (OTCQX: CURLF) announced its intention to launch a takeover bid for Aurora Cannabis Inc. (NASDAQ: ACB) (TSX: ACB), in a move aimed at creating what it believes would be a leading global cannabis platform. The proposed transaction would offer Aurora shareholders implied consideration of US$4.00 per share, consisting of 0.3463 Curaleaf shares plus US$0.75 in cash. Based on Aurora’s 30-day volume-weighted average price (VWAP) of US$2.75, the offer represents a 45% premium, or a 110% premium when excluding the cash and cash equivalents on Aurora’s balance sheet.

Under the proposal, if Curaleaf’s share price rises significantly before the offer is completed, the consideration would be subject to a US$5.00 cap based on Curaleaf’s 20-day VWAP. In that scenario, Curaleaf would adjust the number of shares included in the offer so that the total consideration remains equal to the cap price. Curaleaf says the US$5.00 value would represent an 82% premium to Aurora’s 30-day VWAP, rising to 197% when Aurora’s balance sheet cash is excluded. Strategically, the combination would bring together Aurora’s EU-GMP cultivation and manufacturing capabilities with Curaleaf’s EU-GMP processing operations and international distribution network, potentially improving margins and expanding patient access across Europe, Canada, Australia and New Zealand.

Curaleaf is also calling on Aurora’s board and management to enter into good-faith discussions regarding the proposed transaction. The company says it first approached Aurora on June 23, 2026, when Curaleaf Chairman and CEO Boris Jordan sent a formal letter of intent to Aurora Chairman and CEO Miguel Martin outlining the proposal and offering to enter into a mutual non-disclosure agreement to facilitate due diligence. After Aurora declined to engage on those terms, Curaleaf sent a follow-up letter on July 7. According to Curaleaf, Aurora has continued to decline constructive discussions. No formal takeover bid has been launched at this time, and Curaleaf cautions that there is no guarantee the proposed offer will ultimately proceed.

Shares of ACB on the TSX are currently up 13.65% to $4.58, while its U.S.-listed shares are surging 14.81% to $3.318 following the announcement. Meanwhile, CURA shares are up a more modest 1.22% at $13.24, with its U.S.-listed shares (CURLF) trading 1.28% higher at $0.950 in mid-morning trading.
