OPK Raises $125 Million Against Royalties: What Investors Should Know

OPKO Health, Inc. OPK secured $125 million of additional financing against mazdutide royalties, adding non-dilutive capital while keeping long-term participation in royalty growth in China. The transaction extends OPK’s use of royalty-backed funding as it continues to invest in a broad clinical pipeline.

The added liquidity can support development and operating needs without issuing common equity. The trade-off is that part of future royalty economics is committed to the financing.

OPK Turns Royalties Into $125 Million of New Capital

OPKO Health expanded its financing relationship with HealthCare Royalty, a KKR business, by issuing $125 million of additional senior secured notes backed by royalty interests from its mazdutide license agreement with Eli Lilly and Company LLY. The notes mature in 2044.

For investors, the structure provides capital without adding common shares. Lilly remains relevant to the underlying economics because mazdutide is part of its China development relationship with Innovent, keeping OPK’s royalty exposure tied to the product’s commercial progress in that market.

OPKO Health Keeps Exposure to Mazdutide Royalty Growth

Total payments on the new financing are capped at 1.5 times the funded amount. That limit gives OPK defined economics on the financing while avoiding a full sale of its mazdutide royalty interest.

OPKO Health retains long-term participation in mazdutide royalty growth in China. The arrangement therefore monetizes part of the future royalty stream today while preserving exposure if the underlying product generates higher royalties over time.

OPK Gains Funding Flexibility Without Issuing Equity

The financing arrives as OPK continues to fund multiple clinical programs. Research and development expenses were $33.2 million in the second quarter of 2026, up 9.3% year over year, while full-year research and development spending is expected to remain between $125 million and $135 million.

ModeX has several clinical-stage programs, and OPK is also advancing OPK-88006, its once-weekly dual GLP-1/glucagon agonist, plus endocrine programs such as OPK8801001 and oral parathyroid hormone. Pfizer Inc. PFE, which commercializes NGENLA, also provides OPK with recurring profit-sharing economics from that partnered product.

OPKO Health Still Needs Pipeline and Diagnostics Execution

More capital does not remove the execution risks in OPK’s business. Several ModeX assets remain in Phase I development, MDX3001 has not yet entered human testing and OPK-88006 is still in early clinical development.

BioReference is also working through a smaller post-divestiture model. Management is targeting breakeven and sustainable profitability, but reimbursement uncertainty around the 4Kscore and the need to preserve testing volumes remain important considerations. OPK also continues to report operating losses despite recent improvement.

The financing improves OPK’s funding flexibility, but the investment picture remains balanced between pipeline optionality and execution risk. The company ended the second quarter with $314.4 million in cash, cash equivalents, marketable securities and restricted cash, while its development spending remains elevated.
