Factors Influencing the Results
Management attributed the decline in direct-model revenues to changes and updates in internet-browser technology that reduced the scale of product distribution. Conversely, indirect-model revenues benefited from third-party strategic partners. The acquisition of Quantum Israel drove the substantial increase in R&D expenses and contributed to higher G&A costs, alongside increased professional-services expenses following the company’s Nasdaq uplisting.
The quarter’s reported profit was heavily influenced by a $3.8 million gain from the deconsolidation of CliniQuantum after Quantum Israel lost control of the business. Net financial expenses also fell sharply to $0.1 million from $7.7 million, primarily because the prior-year period included expenses tied to financial instruments measured at fair value. Other expenses decreased to $0.1 million from $0.5 million.
Management Commentary and Outlook
Quantum X Labs said its quantum strategy uses separate operating entities to diversify technical risk, pursue tailored commercialization plans, share intellectual property and facilitate partnerships with academic institutions, government laboratories and industry participants. Management is also responding to liquidity pressures through reductions in salaries, professional services and other operating expenses while pursuing new partnerships and income sources.
Management anticipates that revenues from internet-browser add-ons will continue to decline because of browser technology changes.
Other Developments
Quantum X Labs completed its acquisition of Quantum Israel on March 4, 2026, making it a wholly owned subsidiary and expanding the company into quantum computing, sensing, navigation and security. During June, a third party acquired 54% of CliniQuantum, causing Quantum Israel to lose control. Quantum X Labs subsequently accounted for its remaining CliniQuantum investment under the equity method at a fair value of $3.8 million and recognized the related $3.8 million deconsolidation gain.
