Artificial intelligence may be fueled by powerful chips, but memory and storage have quietly become some of the industry's most valuable resources. As AI servers become more sophisticated and hyperscale data centers continue expanding, companies with access to critical hardware components are increasingly finding themselves in strategically important positions within the global AI infrastructure buildout.
Shares of Nocera, Inc. (NASDAQ: NCRA ) are soaring Wednesday after the company announced it acquired a 30% interest in Taiwan-based QMAX Technology Co., Ltd., an authorized distributor of Micron and Crucial memory and storage products. The transaction is designed to strengthen Nocera's AI infrastructure strategy by securing established procurement channels for components that sit at the core of modern AI data centers.
Nocera acquired what it describes as a controlling interest through a variable interest entity structure, issuing 300,000 restricted shares valued at $1.36 each based on the July 27 closing price, for an aggregate purchase price of $408,000. No cash consideration was paid, and the shares carry a restrictive legend and are subject to lock-up and leak-out arrangements. QMAX, founded in 2015, reported revenue growth of nearly tenfold between fiscal 2023 and fiscal 2025, reaching approximately $1.36 million while expanding its export business.
Through QMAX, Nocera gains authorized sales qualifications and distribution relationships for Micron and Crucial products, including DDR5 desktop and notebook modules, ECC server memory, and enterprise and consumer solid-state drives. The acquisition also provides an operating procurement and distribution platform with established upstream supply relationships and downstream customers across Taiwan's technology channel.
The deal is part of Nocera's transformation into Nocera Holdings, a diversified technology-focused holding company pursuing opportunities across artificial intelligence, AI infrastructure, data centers, robotics, biotech, blockchain, and digital assets. Management believes qualified access to memory and storage will become an increasingly important competitive advantage as AI infrastructure demand accelerates.
"AI cannot scale without compute, and compute cannot scale without memory. Securing qualified access to memory and storage supply is a foundational step in our AI infrastructure strategy," said Andy Jin, Chief Executive Officer of Nocera. He added that the company continues to evaluate additional acquisitions, strategic investments, and partnerships aligned with its holding company vision.
Beyond supplying components for its own planned data center initiatives, Nocera intends to work with third-party data center operators and end users, combining secured component sourcing with distribution capabilities. The company noted that AI servers require multiples of the memory content found in conventional servers, while the industry-wide shift of wafer capacity toward high-bandwidth memory has tightened supply and lifted pricing across DDR5 and enterprise storage.
Nocera also pointed to IDC forecasts calling for global spending on AI infrastructure, including AI-optimized servers, storage, and networking, to approach $1.08 trillion by 2029. Management believes the QMAX transaction positions the company to participate across multiple layers of that expansion, from components and systems through facilities and services.
Shares of NCRA are ahead 108.2% to $3.04 in Wednesday morning trading
