Growth through acquisition remains one of the most effective ways to rapidly expand a business, provided there’s solid due diligence and precise market timing to identify the right target. This morning, a small-cap company made that bold move, and shareholders are responding positively to the strategic decision.

As mentioned, shares of Critical Infrastructure Technologies Ltd. (CSE: CTTT) are surging on news that the company has signed a binding Term Sheet to acquire a leading Western Australian precision engineering company that services the defence and infrastructure sectors. The deal, valued at approximately AUD $7.7 million plus standard adjustments, will give CiTech full ownership of a state-of-the-art manufacturing business with deep defence and mining connections. The acquisition is expected to significantly enhance Australia’s sovereign manufacturing capabilities and provide CiTech with vertically integrated production capacity, improving efficiency, cost control, and scalability across its product lines.

The acquired company generates annual revenue exceeding AUD $7.4 million and EBITDA of more than AUD $1.9 million, adding immediate profitability and production readiness to CiTech’s operations. This move positions CiTech to better serve the Australian defence sector by qualifying for Defence Industry Security Program (DISP) projects and tenders, while accelerating production of its Nexus 20 platform and other autonomous communications systems. The transaction marks a major step forward in CiTech’s strategy to strengthen domestic defence manufacturing and expand its footprint in critical infrastructure technology.

“The business has established itself as a leading precision manufacturer supporting defence and heavy industry in Australia,” stated Brenton Scott, CEO and CEO of CiTech. “This acquisition provides CiTech with a consistent revenue stream together with instant profitability, making the CiTech Group cashflow positive from completion. It ensures the group can accelerate production of our Nexus 20 and future product lines while strengthening Australia’s sovereign industrial base.”

Shares of CTTT are currently up 12.58% at $1.70 in mid-morning trading.
