The war on mental illness may be entering its most dramatic turning point in a generation. On April 18, President Trump signed an Executive Order directing the FDA to accelerate research and approval pathways for psychedelic therapies including psilocybin and ibogaine, calling them a potential lifeline for Americans suffering from debilitating conditions. Six days later, the FDA followed with formal priority review designations for qualifying psychedelic treatments, signaling that this once fringe sector of biotechnology has landed squarely in the mainstream of U.S. drug policy.

Shares of XTL Biopharmaceuticals Ltd. (Nasdaq: XTLB) are surging Wednesday after the company announced a definitive agreement to acquire Psyga Bio Ltd., a privately held Israeli biotechnology company with a deep clinical pipeline, a licensed GMP manufacturing facility and a proprietary library of more than 180 unique mushroom strains.

The all-stock transaction will see current Psyga shareholders receive 40% of XTL's issued and outstanding share capital at closing, with no cash consideration exchanged at this stage. Additional milestone-based tranches totaling up to 30% more of the company's shares can be earned upon clinical and commercialization benchmarks, including the launch of at least three clinical trials within 12 months of closing and the successful achievement of targets across at least two trials within 36 months.

What XTL is acquiring is substantial for a company of this size. Psyga brings seven approved Phase 2a human clinical trials expected to begin patient enrollment in the near future, spanning mental health disorders, neurological conditions, trauma-related disorders, addiction treatment and additional central nervous system indications. Several programs are already fully funded and will be conducted in collaboration with leading Israeli academic institutions including the Technion, Rambam Health Care Campus and Sheba Medical Center.

Perhaps the most strategically significant asset is Psyga's manufacturing infrastructure; a licensed, GMP-ready pharmaceutical facility capable of cultivating, extracting and producing pharmaceutical-grade botanical and synthetic psilocybin and ibogaine APIs at commercial scale. That kind of vertical manufacturing independence is rare in early-stage psychedelic biotech and could prove decisive as regulatory timelines compress.

Psyga's scientific operations are led by Professor Dedi Meiri of the Technion, a recognized leader in natural product drug discovery. XTL CEO Noam Brand described the acquisition as a transformational opportunity to reposition the company as a leading publicly traded biotechnology platform in one of the most important emerging therapeutic sectors globally.

To support the transaction, XTL has secured a $1.5 million private placement commitment to close concurrent with the deal.

Shares of XTLB are ahead 79.1% at $4.12 in Wednesday afternoon trading.
