Nasdaq Biotech Surges 46% on Photonic Supercomputing Acquisition

Commercial validation from major global manufacturers can transform an early-stage deep-tech acquisition into an immediate market catalyst. CollPlant Biotechnologies Ltd. (Nasdaq: CLGN) moved higher Monday after agreeing to acquire LightSolver Ltd., an Israeli developer of all-optical photonic processors. The deal expands CollPlant into deep-tech hardware by acquiring LightSolver’s room-temperature Laser Processing Unit (LPU™), a laser-driven platform targeting large-scale optimization and physics-based simulation workloads.

CollPlant is paying in equity: 3.7M new ordinary shares at closing, about 19.7% of shares outstanding before the agreement, plus pre-funded warrants for about 6.1M shares, three tranches of milestone warrants covering about 224.1M shares at a $0.00001 purchase price if LightSolver hits named technology and commercial goals, and rollover options for about 2.3M shares. Issuances above Nasdaq's equity-blocker limit need shareholder approval.

Laser Processing Units are meant for large linear systems, optimization, and partial differential equations used in aerospace, defense, energy, engineering software, and Physical AI.

Next catalysts are closing this week, any shareholder votes required for the larger warrant packages, and whether LightSolver's commercial validation with Boeing and other design partners turns into broader deployment news.

Shares of CLGN have surged 43.6% on the Nasdaq to US$0.514 on volume of 156M shares.
