Willamette Valley Vineyards’ Management Commentary
Founder and president Jim Bernau attributed the quarter's weaker results primarily to the bankruptcy filing of Willamette Valley Vineyards’ largest distributor, Republic National Distributing Company (RNDC) and the sizable receivable owed by the distributor. Management said that it is taking steps to limit the cash-flow impact and is training new distributors to support its brands. Bernau also noted that lower aggregate customer visits at retail locations during the quarter were nearly offset by higher spending per customer.
Factors Influencing WVVI’s Headline Numbers
Cost of sales increased 7.1% to $4.3 million, primarily because of higher-cost products sold during the quarter, contributing to the gross-margin contraction. Total operating expenses surged 22.5% to $7.1 million from $5.8 million. The increase largely reflected a roughly $1.1 million credit-loss reserve tied to RNDC's Chapter 11 bankruptcy filing, along with a slight increase in selling labor and benefits. Interest expense edged down 0.8% to $267,994, primarily because of lower credit-line balances.
Willamette Valley Vineyards’ Outlook
Willamette Valley Vineyards did not provide specific revenue or earnings guidance. Management said that near-term financial results are expected to be affected by accrued preferred-stock dividends, strategic planning and development expenses and other costs associated with its growth initiatives.
Regarding RNDC, WVVI said that it is transitioning distributor relationships in affected markets and, based on current plans and contracted partners, does not anticipate a long-term disruption to product distribution. Management also believes cash flow from operations, existing credit facilities and preferred-stock sales will be sufficient to meet its long-term needs.
WVVI’s Other Developments
On June 26, Willamette Valley Vineyards filed a prospectus supplement covering the potential sale of up to 555,555 shares of Series A Redeemable Preferred Stock, with aggregate proceeds of up to $1.8 million. However, WVVI had received no net proceeds from the offering as of June 30, 2026.
