A health and wellness service provider is making waves to start the week with a strategic acquisition that positions the company for its next stage of growth. Investors appear to support the move, pushing the company’s shares higher following the announcement.

Hydreight Technologies Inc. (TSX-Venture: NURS) (OTCQB: HYDTF) announced this morning that it signed a binding letter of intent to acquire a 5% equity stake in Texas-based Perfect Scripts LLC, with an option to increase its ownership to 40%. Under this agreement, Hydreight will pay for the initial stake with 2,250,000 of its own shares, partner with Perfect Scripts to launch a 503B pharmacy in the U.S., secure the lowest available pricing for products through a dedicated pharmacy services agreement, and retain rights to maintain or expand its stake in Perfect Scripts over time.

Perfect Scripts LLC is the parent company of PerfectRx LLC, PerfectionRx LLC, and PerfectRx, and owns the proprietary pharmacy software platform PerfectOS. PerfectRx LLC runs a 503A retail pharmacy in Iowa, while PerfectionRx operates a large licensed pharmacy and distribution center in Florida. PerfectRx itself is a nationally licensed mail-order pharmacy serving all 50 states, shipping a wide range of medications directly to patients. With its advanced PerfectOS system supporting digital prescription intake and automated checks, PerfectRx can currently handle over 150,000 prescriptions daily, with the ability to scale further to meet growing demand.

Shane Madden, CEO of Hydreight, commented: “This strategic deal locks in a rock-solid pillar for Hydreight’s next stage of growth. By controlling production, distribution, and pricing for key pharmaceuticals like GLP-1s and NAD+, we’re boosting our pharmacy margins, securing a consistent supply chain, and deepening our defensibility with true vertical integration. It’s real barriers to entry, more margin, and stronger economics for every partner and licensee on our platform. The addition of a 50-state 503A pharmacy puts us firmly in the driver’s seat on patient-specific meds with full compliance. And our joint mission to build and own a 503B takes it even further — expanding our reach to serve the entire U.S. healthcare market, from hospitals and clinics to direct-to-consumer brands and everyday patients. Bottom line: this is more margin, more protection, and more upside — the kind of infrastructure that expands our product lineup and positions Hydreight for a stronger valuation multile. It’s another big step forward in our mission to transform access to modern healthcare.”

Shares of NURS are up 4.69% at $2.23 while U.S. listed shares (HYDTF) are up 5.92% at $1.61 in late-morning trading.
