Tokenization is moving from concept to commercialization, with digital asset platforms working to bring institutional-grade real-world assets onto blockchain infrastructure to unlock liquidity and broaden investor access. But for emerging names in the sector, Wall Street can be slow to price in the opportunity, leaving small-cap boards to take matters into their own hands when share prices diverge from what management sees as underlying value.

Shares of Forum Markets, Incorporated (Nasdaq: FRMM) are rallying Friday after the company announced a series of Board-authorized actions designed to close what it calls the gap between Forum's current market capitalization and its intrinsic value.

The Board has unanimously reinitiated the company's share repurchase program, effective April 15, including authorization for buybacks in volumes that may exceed the limitations of the Rule 10b-18 safe harbor under the Securities Exchange Act. The Board described share repurchases at current price levels as a direct expression of its conviction in Forum's intrinsic value.

In parallel, the Board has formed a Special Committee comprised entirely of independent directors, Angela Dalton, Michael Edwards, and Jason New, to evaluate proposals aimed at narrowing the valuation gap and identifying the optimal outcome for shareholders. The committee will engage with parties that have already approached the company and review those proposals.

The Special Committee has also been authorized to examine a full range of value-maximizing pathways, including potential mergers with or acquisitions of strategically aligned private companies, the sale of the company or material assets, partnerships with new capital partners to accelerate platform development, or in the event no proposal meets the committee's valuation threshold, the return of substantially all of the company's capital and assets to shareholders in an orderly fashion.

To support the review, Forum has retained Clear Street Investment Banking as its independent financial advisor. Clear Street will provide third-party valuation analysis and assist the Special Committee in identifying and evaluating potential counterparties and transaction structures.

Forum added that management remains fully focused on execution during the review. The company will continue building out its digital asset platform, which brings cash-generating, institutional-grade real-world assets onto blockchain-based infrastructure to support primary issuance and secondary market activity.

With the buyback live and the Special Committee now actively working proposals, Forum has put both internal and external levers into play at once.

Shares of FRMM are ahead 25.3% to $2.97 in Friday morning trading.
